Welcome to the AP.org website (this “Site”). Use of this Site is conditioned on the acceptance, without modification, of these terms and conditions (“Terms of Use”). By using this Site You represent that You have read and understand these Terms of Use and agree to be bound by them. If You do not wish to bind Yourself to these Terms of Use, do not access or use this Site or access any materials from this Site. AP reserves the right, at its sole discretion, to modify these Terms of Use at any time, such modification effective immediately upon posting.

1.1 This Site is owned and operated by The Associated Press and/or its affiliates (collectively, “AP”). All of the content elements displayed and/or downloadable on this Site, including photographic images, graphic images, text, captions, video, audio-visual files, digital files and software (collectively, the “Content”), and all of the features of this Site, including this Site’s designs, trade dress, logos, pages, audio and/or video material, text, data, information, software, data compilations, digital downloads, icons, html code, xml code and products or services obtained from this Site (together with the Content, collectively, the “Site Elements”) is the exclusive property of AP or its licensors. The Site Elements are protected by national and international laws, including copyright, trademark, trade dress and other intellectual property laws. Any Content accessed or downloaded by You (whether or not such access or download was authorized) transfers no right, title or interest in or to such Content or any intellectual property rights therein. All right, title and interest in and to such Content shall remain the exclusive property of AP and/or its licensors. No Content may be used, copied, displayed, transmitted or otherwise exploited via any means except as expressly permitted herein. AP hereby expressly reserves all rights in relation to the Site and Site Elements not expressly granted herein.

1.2 For the protection of AP and its licensors, Content may use electronic measures to protect this Site and the Site Elements. You agree not to, nor attempt to, disable or interfere with any such measures. Any circumvention or interference with such measures may result in civil and criminal penalties.

1.3 For personal, non-commercial use ONLY, You may make a single printed copy of any item of Content on the Site PROVIDED that You do not remove or cause to be removed any copyright, trademark, watermark or other proprietary notices or visual marks or logos from the Content. You may not archive or retain any Content without the express prior written consent of AP to the address shown at Section 10.1 below.

2.1 This Site and Site Elements are intended solely for users of the Site. Any and all access to this Site is provided to You at AP’s sole discretion. You agree that AP shall not be liable to You or any third party for any termination of Your access to this Site. AP reserves the right to modify, update, suspend, discontinue or restrict the use of or access to the Site (or any portion of the Site) at any time and without notice or liability.

2.2 You may not (i) deep link or employ software or any automatic device, technology or algorithm, to “crawl”, “scrape”, search or monitor this Site and/or retrieve or copy Content or related information; (ii) violate the mechanical restrictions of this Site, or bypass other measures employed to prevent or limit access to this Site or Site Elements by hacking or other means; (iii) copy, redirect, or exploit this Site or any Site Elements; (iv) probe, scan, or test the vulnerability of this Site or of the network supporting this Site, or seek information on visitors to this Site or personal information of AP’s customers; (v) use or upload to this Site any device, software or routine that would interfere with the proper functioning of this Site, or any transaction conducted via this Site; (vi) copy, modify, or display AP’s name, logo, trademarks or service marks, text, or graphic images in any way, or include AP’s names or trademarks or service marks or any AP executive’s name, or any variation of any of the foregoing, as a meta-tag, hidden textual element, or any other indicator that may create an impression of affiliation, sponsorship, or endorsement; (vii) use devices (including software) that are designed to provide repeated automated access to this Site, other than those made generally available by AP, or probe, scan, or test the vulnerability of any system or network related in any way to this Site, without proper authorization from or by AP; (viii) engage in any unlawful or illegal activities in connection with the use of this Site; or (ix) frame this Site or Site Elements using “framing” or any other similar technology.

2.3 AP controls and operates this Site from its offices within the State of New York, United States of America. AP does not claim that this Site and/or any Site Elements are appropriate or available for use in locations other than the United States. If You choose to access this Site from other locations, You do so at Your own initiative and will be solely responsible for compliance with any applicable local laws.

3.1 In the course of using this Site, You may receive certain pricing, technical, marketing or other confidential information. “Confidential information” includes any information that is either designated as confidential by AP or that, under the circumstances surrounding its disclosure, a reasonable person would conclude is confidential. You acknowledge that such confidential information constitutes valuable trade secrets of AP and is proprietary to AP. You agree that You will maintain the confidentiality of all such confidential information and that You shall not use or disclose such confidential information without the prior written consent of AP.

4.1 THE SITE AND THE SITE ELEMENTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. 4.2 UNDER NO CIRCUMSTANCES SHALL AP OR ITS DIRECTORS, OFFICERS, EMPLOYEES, PARTNERS, LICENSORS, AGENTS OR OTHER REPRESENTATIVES, BE LIABLE FOR DAMAGES OF ANY KIND, WHETHER DIRECT, INDIRECT, COMPENSATORY, CONSEQUENTIAL, EXEMPLARY, SPECIAL, INCIDENTAL OR PUNITIVE, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, REVENUE, INCOME, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES OR DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR THE SITE ELEMENTS. YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING OR REPAIRS ARISING FROM USE OF THE SITE.

4.3 Your access to this Site or any Site Element is at Your own risk. You shall be solely responsible for any damage to Your computer systems or loss of data that results from the accessing of any Site Elements. AP shall not be responsible or liable for any damage caused by theft, systems failure, communications line failure or other occurrences beyond the control of AP.

4.4 Although AP endeavors to ensure the accuracy, completeness and reliability of the Content, AP disclaims all representations and warranties concerning the accuracy, completeness and/or reliability of the Content or any data or metadata appurtenant thereof. You assume all risk and responsibility relying on such information. AP also disclaims any responsibility for the accuracy, completeness and/or reliability of any search feature provided by this Site and/or any search results.

4.5 This Site may from time to time contain links or pointers to Internet sites maintained by third parties. These links do not imply endorsement by AP of the products or services offered by such third party Internet sites. AP does not operate or control in any way any information, products or services on these third-party sites and AP expressly disclaims any responsibility for such third party sites, which are provided for Your convenience on an “as is” basis without warranties of any kind, express or implied. You hereby waive any and all claims against AP regarding the inclusion of links to third party Internet sites or the use thereof.

5.1 This Site contains an extensive archive of news and historical Content. Accordingly, certain Content may describe or depict persons, institutions or events that reflect social attitudes, beliefs and circumstances of a particular place and/or time that may be viewed as insensitive, offensive or inappropriate by You, or the community in or to which You intend to publish, transmit, display or broadcast such Content. AP shall not be liable or responsible to You, or any other person or entity with respect to such Content.

6.1 You hereby agree to indemnify, defend and hold harmless AP and its officers, directors, employees, agents and representatives from and against any and all claims, actions, proceedings, suits, liabilities, damages, settlements, penalties, fines, losses, or expenses, including attorneys’ fees and costs, arising out of or in any way connected with its access to Your use of this Site or any Site Elements in violation or breach or alleged violation or breach of these Terms of Use, Your violation, alleged violation or misappropriation of any intellectual property right (including trademark, copyright, patent, trade secrets) or non-proprietary rights of a third party (including defamation, libel, violation of privacy or publicity) or any other applicable laws or regulations.

7.1 If any provision of these Terms of Use is deemed unlawful, void, or for any reason unenforceable, then that provision will be deemed severable from these Terms of Use and will not affect the validity and enforceability of the remaining provisions. The affected provision shall be modified to the extent necessary to make it lawful, not void or enforceable, as the case may be, in such a manner as comes closest to preserving the intentions of such provision.

8.1 These Terms of Use will be governed and construed in accordance with the laws of the State of New York without regard to its conflicts of law provisions. These Terms of Use shall not be governed by the United Nations Convention on Contract for the International Sale of Goods, the application of which is expressly disclaimed. You agree to submit to the jurisdiction of the state and federal courts located in New York County in the State of New York. You agree not to bring any of action relating to the use of this Site or the interpretation of these Terms of Use in any court in any jurisdiction other than the state and federal courts located in New York County, State of New York. AP shall have the right to commence and prosecute any legal or equitable action or proceeding before any US or non-US court of competent jurisdiction to enforce these Terms of Use. In any dispute between You and AP where AP prevails, AP shall be entitled to recover its reasonable attorney fees, court costs, disbursements, and other legal expenses.

9.1 The failure of AP at any time to require performance by You of any provision of these Terms of Use shall in no way affect the right of AP to enforce the such provision, nor shall the waiver of any breach by You of any provision herein constitute a waiver of any succeeding breach or the provision itself.

College Newspaper digital use terms and conditions

1.1.  Subject to execution of a valid and current College Newspaper Services Agreement (“the Agreement”‘) and to the terms and conditions set forth here, hereby grants to the subscribing college or university (“Subscriber”) a non-exclusive, non-transferable limited license to: publicly perform, publicly display and otherwise include the news, internet and information from the produced online service(s) (”the AP Service”) listed in Exhibit A of the Agreement, on the Subscriber’s Internet Newspaper editions, in accordance with the terms and conditions set forth herein.

2. 1. Subscriber’s use of the Content in its Internet newspaper editions is limited to news use only and must target the specific news and information in Subscriber’s campus and surrounding local community.

2.2. Subscriber will not archive or otherwise retain any Content in an on-line or wireless electronically retrievable format for retrieval by Users for no more than 30 days without the express written permission of AP; provided that the foregoing limitation shall not apply to any electronic archival of the AP Service Material included in the Subscriber’s newspapers where the archival is of the entire contents of the printed newspaper and the archive is for sole purpose substantiating any stories  published in the newspaper.

2.3. AP shall retain all right, title and interest in and to the Content, including, without limitation, the copyright.

2.3.1. Subscriber may present the Content only within Subscriber’s online newspaper, which shall be branded with the name of the Subscriber.

2.3.2. Subscriber may not co-brand the content with any third party without the express written permission of AP.

2.3.3. Subscriber shall not make the Content available to any other Subscriber, person, or third-party affiliate, except with the express written permission of the AP.

2.3.4. Subscriber may not use the Content for any other purpose or platform not expressly approved herein or in the Agreement, including other URLS, MP3, USB storage devices or other wired or wireless devices, except with the express written permission of AP.

2.4. Nothing herein is intended to restrict Subscriber’s ability to display advertising alongside the Content, or to allow Subscriber to enter into a common relationship in which an entity sponsors one or more sections (e.g., Business News) of Subscriber’s Internet editions.

2.5. AP shall engage in commercially reasonable efforts to reach agreement “with news aggregation sites in order to allow such sites to crawl, search, and otherwise access the Content on Subscriber’s internet editions. If AP is unable to reach such agreements with any particular news aggregation site, AP will then request that Subscriber use commercially reasonable efforts to prohibit such entities (including parents, subsidiaries, separate divisions or business Member) from crawling, searching, indexing, scraping, copying, storing or otherwise accessing the Content on Subscriber’s Internet editions. Subscriber is discharged of its obligations under this Section by displaying a notice against unauthorized crawling, searching, indexing, scraping, copying, storing or accessing the AP Content. The notice may be included as part of the terms and conditions applicable to Users of Subscriber’s internet editions. Nothing herein shall obligate Subscriber to enable any particular entity to crawl, search, index, scrape, copy, store or otherwise access Subscriber’s internet editions.

2.6 Any photos in the Content provided to Subscriber and selected by Subscriber for use as provided herein be made available on Subscriber’s Internet editions at a resolution of 640 by 480 pixels or lower or as notified by AP in its sole discretion from time to time.

2.7 Subscriber may use AP photos for news use only. AP conveys no trademark rights or rights of personality or publicity in the photos. Member shall not associate the photos with the promotion or sale of any product or service or associate the photo with any content that would bring the subject or the AP disrepute.

Subscriber’s rights granted herein are subject to the payment of its Assessment according to Exhibit A of the Agreement and any supplemental Agreements. (collectively “The Assessment”) and to the consideration granted by Subscriber to AP in Section 5. below.

These terms and conditions shall become effective on the start date. and shall continue for the term of the Agreement.

5.1. The Content which appears in Subscriber’s Internet newspaper editions will be labeled as copyrighted AP material and credited to AP as the source material as described in Exhibit B. Subscriber shall incorporate the notice of terms and conditions applicable to the Content as described in Exhibit B. Proper credit and incorporation of the form of notice by Subscriber in its Internet newspaper editions, in accordance with Exhibit B, which may be updated by AP from time to time, is a material part of these terms and conditions and constitutes a portion of the consideration to AP from Subscriber.

5.2. Subscriber agrees to not interfere with any copyright protection mechanism or copyright management information system, including any watermark employed by AP. Subscriber shall not interfere with or impair the function of any digital identification devices provided by AP with the Content.

5.3. Subscriber shall, without cost to AP, use commercially reasonable efforts, when otherwise updating such documents, to make AP a third-party beneficiary of Subscriber’s “Terms of Service” or similar agreements applicable to Users of or other visitors (whether an entity or any digital engine that crawls, searches, indexes, scrapes, copies, stores or transmits Web site content) to Subscriber’s Internet newspaper editions.

5.4. Subscriber will promptly notify AP of any unauthorized use, of which Subscriber becomes aware, of the AP Content. Subscriber agrees, if and when requested by AP, to use reasonable commercial efforts to cooperate in AP’s investigation and prosecution of acts that violate AP’s copyright or other rights in the AP Content.

Subscriber will promptly make all kills, corrections and substitutions, and abide by all advance, hold for release, embargo notices or other restrictions on the AP Content. Subscriber may not use any material from the AP Content in Subscriber’s Internet newspaper editions slugged or identified as “advisory”, “on-line or “not for publication”.

7.1. Subscriber will provide AP access to Subscriber’s Internet newspaper editions without charge, if requested by AP, as it relates to Subscriber’s use of the Content under these terms and conditions. In addition, to assist AP with development of digital products and services that reflect market trends and patterns where commercially practicable and to the extent permitted under its online privacy policy. Subscriber shall provide AP with data that can reasonably inform AP of User interest in the Content. Such data may include the number of registered visitors, page views and other similar statistics provided that, AP’s request for data is not intended to cover any personally identifiable information of visitors to or Users that Subscriber may collet for its own business purpose shall: AP shall: (i) maintain the confidentiality of all data collected under this Section; and (ii) only use such data aggregated with the data from other Subscribers.

TERMS AND CONDITIONS APPLICABLE TO THE WORKS OF THE ASSOCIATED PRESS DISPLAYED ON THE WEB OR DISTRIBUTED VIA THE INTERNET

The following terms and conditions (the “Terms and Conditions”) — applies to all visitors (which shall include without limitation, persons and representatives of legal entities, whether such representatives are persons or digital engines of any kind, including without limitation ones that crawl, spider, ingest, index, scrape, copy, store, display or transmit digital content) (“You”), and governs Your use of any works of The Associated Press, including without limitation text, data, information, photos, graphics, audio and video material created, gathered, generated and/or provided by The Associated Press (the “AP Works”) and displayed on any website or digital service through which You accessed these Terms and Conditions. If any provision in these Terms and Conditions is declared to be invalid or unenforceable in any respect by a court of law having jurisdiction to decide, then the invalid or unenforceable provision will be removed from the Terms and Conditions without affecting the rest of the terms, which will continue to be valid and enforceable, and a valid and enforceable provision that approximates the intent of the invalid or enforceable provision as closely as possible shall be substituted for the invalid or unenforceable provision.

You agree that AP is entitled to exercise all rights and seek all legal and equitable remedies available to it with respect to the AP Works. You agree that AP’s failure to exercise or enforce any legal right or remedy in these Terms and Condition, shall not constitute a waiver of these rights and remedies by AP. Notwithstanding any choice of law, venue or jurisdiction provisions in association with the website or digital service through which You accessed these Terms and Conditions these Terms and Conditions shall be governed by, construed and take effect in accordance with the laws of the State of New York and jurisdiction for any claims arising under these Terms and Conditions shall lie exclusively with the state and federal courts situated in New York, New York, and all such claims shall be adjudicated under New York law, without reference to its conflict of law principles.

1. What information may be collected?

User-Provided Information

When using our Services from a mobile device (a “Mobile Service”), you may share the geographic location of your device with us. Service Usage Information

  • Language of your device;
  • Wireless connections you are using;
  • Referring page that linked you to us;
  • Your activities, including browsing and transaction history;
  • Pages, content, and ads you view or click on during your use of our Services, and when and for how long you do so;

2. How is your information used?

We or our service providers may use the information we collect from or about you to perform the following functions:

Transfers outside the European Economic Area (“EEA”)

The information described in this section of the Privacy Policy, with respect to the transfer of data outside the EEA, applies to those individuals located in the EEA. 4. How do we secure your Personal Information?

We use reasonable technical, administrative and physical security measures to protect Personal Information collected via our Services. We cannot guarantee that any information, during transmission through the Internet or while stored on our systems or otherwise in our care, will be absolutely safe from unauthorized access or use (e.g., by hackers). You use the Services, and send us information, at your own risk.

If you correspond with us by e-mail, text message, or using a “Contact us” feature on our Service, a third party could view the information you send in transit by such means. 6. Links and connections to Third Party Services

We maintain a presence on social media and other external platforms, such as Facebook and Twitter. We may occasionally incorporate third party social networking features into our Services. This Privacy Policy applies to our use of information you submit to us there, but it does not apply to what those third-party platforms do with your information.

Our Services may allow you to share information with us that you have already provided to a third party social networking platform. For example, you may be able to create an account on our Service or log in to our Service using your Facebook account or other third-party credentials. 8. Your rights relating to your Personal Information

You agree that AP is entitled to exercise all rights and seek all legal and equitable remedies available to it with respect to the AP Works. You agree that AP’s failure to exercise or enforce any legal right or remedy in these Terms and Condition, shall not constitute a waiver of these rights and remedies by AP. Notwithstanding any choice of law, venue or jurisdiction provisions in association with the website or digital service through which You accessed these Terms and Conditions these Terms and Conditions shall be governed by, construed and take effect in accordance with the laws of the State of New York and jurisdiction for any claims arising under these Terms and Conditions shall lie exclusively with the state and federal courts situated in New York, New York, and all such claims shall be adjudicated under New York law, without reference to its conflict of law principles.
